Corporate law

Even though the The Slovenian Law on Commercial Companies, which is the basis of the corporate law, came into effect in 1993, corporate law has been constantly evolving.

The problems which faced the clients soon after the effective date of the Law on Commercial Companies have changed by now. Instead, clients now primarily demand answers to questions, which are not clearly answered by the wording of this Law, and large part of attorneys' work consists of preparing corporate actions, with observance of the tax and balance sheet effects of those actions. Preparations for a company's general meeting require a careful analysis of the company's condition, the clients' interests and the feasibility of either their implementation or prevention.

Therefore, we want our clients – commercial companies, partners or shareholders – to cooperate with us from the birth of the idea through to the implementation of the task, which they entrust us with. Timely actions and accurate analysis of possible future scenarios, demanding orchestrated team work of experts in different fields, are the prerequisites for a successful implementation of business or corporate actions.
